A: The shareholders register of OJSC “IC RUSS-INVEST” is held by Registrar - Closed joint stock company Professional Registration Center (hereinafter - CJSC PRC or/and Registrar). The Registrar keeps the records of the shareholders’ personal details, including such details as first name, last name, father’s name, passport details, residential address, number of owned shares, etc. All the above-mentioned personal details are registered on the personal account of shareholder by the Registrar. Shares of the Company are uncertificated (the shareholder is identified by the entry in the register).
In compliance with the clause 44 of the Russian Federal Law No.208-FZ “On joint stock companies”, dated December 26, 1995, and the clause 20.4 of Company’s Articles of Association, shareholder must notify the Registrar in time about changes in personal details.
In case of passport changing, change of address, change of name, securities’ ownership transfer, securities’ ownership transfer as the result of inheritance, the shareholder should submit all necessary documents to the Registrar personally or by letter (in compliance with the requirements of OJSC PRC).
The Company pays your attention on the fact that, in compliance with the requirements of the Registrar, in case of personal information changing (changing of passport details or the address) the shareholder must provide the Registrar with the Registered Holder Form (must be completed legibly, without erasures or corrections).
An individual must sign the Registered Holder Form in the presence of an authorized representative of the Registrar or his/her signature must be approved by notary.
In case of last name, first name or father’s name changing the shareholder also must provide the Registrar with the document, which confirms such change, in original or the copy of such document approved by notary (marriage certificate, certificate of name changing etc.).
Moreover, in compliance with the requirements of the Registrar, to be identified in the Company’s register the shareholder must also provide the Registrar with his/her passport in original (such passport must include the information about all former passports of the shareholder) or provide the Registrar by post mail with the copy of such passport. Otherwise, the shareholder must provide the Registrar with other document/documents which can help the Registrar to identify the shareholder: extracts or other documents of authorized authorities responsible for passport bookkeeping which contains the information about present and all former passports of the shareholder (First Name, Father’s Name and Last Name must be indicated in such document).

Changing the owner of Company’s shares as a result of legal transaction.
To change the owner of Company’s shares as a result of a legal transaction (including sale-and-purchase transaction, donation, exchange) the shareholder should provide the Registrar with
- the Special Form of Transfer Order;
- receipt of payment (for each Transfer Order from both parties of transaction) for making entries in the register for securities’ ownership transfer as a result of sale-and-purchase transaction or other transaction.
If a new owner doesn’t have a personal account in the register, he/she must open such account.
To open personal account the new owner must submit the Registered Holder Form and receipt of payment for Registrar’s services to the Registrar.
An individual must sign the Registered Holder Form in the presence of an authorized representative of the Registrar or his/her signature must be approved by notary.
All documents must be completed legibly, without erasures or corrections.

In compliance with Registrar’s requirements to change the owner of Company’s shares as a result of an inheritance, the inheritor should provide the Registrar with the Legal Inheritance Certificate (in original or the copy approved by notary) and receipt of payment for making entries in the register for securities’ ownership transfer as a result of an inheritance.
If the inheritor doesn’t have a personal account in the register, he/she must open such account. To open personal account the inheritor must submit the Registered Holder Form and receipt of payment for Registrar’s services to the Registrar.
An individual must sign the Registered Holder Form in the presence of an authorized representative of the Registrar or his/her signature must be approved by notary.
In case of two or more inheritors the Registrar opens a common ownership account for all inheritors indicated in the Legal Inheritance Certificate. Each inheritor must submit the Registered Holder Form to the Registrar.
Inheritors also must submit the Special Order of Joint Shareholders with a common address and common bank account to the Registrar (must be signed by all inheritors).
Inheritors also must pay to the Registrar for:
- opening of a common ownership account;
- transfer of shares from testator’s account to the inheritors’ common ownership account.

If the former shareholder hasn’t received the dividends for past years, inheritor must have an additional inscription in the Legal Inheritance Certificate declaring his/her right to the certain dividends besides the right to the share inheritance. In this way (after securities have been transferred to the inheritor’s account), the inheritor will have to provide the Company with a copy of Legal Inheritance Certificate and the Dividend Payment Application Form.
The Company pays your attention on the fact that, in compliance with the Russian Federal Law No.409-FZ “On amendments to the Regulations of Russian Federation in terms of dividend payment (profit allocation)”, dated December 28, 2010, the shareholder may claim approved and unclaimed dividends within three years after the expiry of the dividend payment’s period.
Thus, in compliance with the current version of the Company’s Articles of Association, approved by the Annual General Meeting of Shareholders on June 2, 2011 (Minutes ¹ 1 of the Annual General Meeting of Shareholders, dated June 7, 2011), as well as previous versions of the the Company’s Articles of Association the Company currently pays the declared and unclaimed dividends for 2009 and 2010.
