A dividend is a portion of the Company's net profit paid out to shareholders in proportion to the number of shares they hold. Dividends are determined based on results for reporting period set out in Profit & Loss Statement prepared in accordance with Russian Accounting Standards.
The decision on dividend payments is made at the General Shareholders’ Meeting in compliance with the Russian Federal Law No.208-FZ “On joint stock companies”, dated December 26, 1995, and Articles of Association of OJSC “RUSS-INVEST”. The total amount of dividend approved at the AGM cannot exceed the amount recommended by the Board of Directors.
The right to draw dividends is granted to the shareholders on the register as of the record date (meeting agenda of the General Shareholders’ Meeting must include the distribution of dividends).
The Company pays out dividends in accordance with the Provisions on Dividend Policy of OJSC IC RUSS-INVEST, drawn up according to Russian Federation law, the Company's Articles of Association and its internal documents.
The purpose of the Provisions on Dividend Policy of OJSC IC RUSS-INVEST is to establish the strategy of the Ñompany's Board of Directors for developing some guidelines on the amount of dividends on OJSC IC RUSS-INVEST shares, the conditions and procedure for its pay-out, as well as to notify shareholders and other interested parties (potential investors and professional participants of the securities market) about the Ñompany's dividend policy.
When defining the amount of dividends (per share) recommended to the Company's General Meeting of Shareholders and the corresponding share of the net profit of OJSC IC RUSS-INVEST directed for dividend pay-out, the company's Board of Directors assumes that the amount of funds recommended for dividend pay-outs to stockholders must not be less than 15% (fifteen percent) of the net profit determined based on the company's Russian Accounting Standards (RAS) for the reporting period.
During the initial pay-out of dividends, only taxes are withheld from the amount of accrued dividends, and the amount of these taxes is determined in accordance with current Russian Federation law. In accordance with the Provisions on Dividend Policy of OJSC IC RUSS-INVEST the Company bears the cost of the initial payment of dividends.
In accordance with the Provisions on Dividend Policy of OJSC IC RUSS-INVEST, Company’s shareholders had the possibility of selecting the way of receiving dividends: a) transfer of dividends through mail remittances b) transfer of dividends to bank accounts.
The Company pays your attention on the fact that, in compliance with the Russian Federal Law No.409-FZ “On amendments to the Regulations of Russian Federation in terms of dividend payment (profit allocation)”, dated December 28, 2010, the shareholder may claim approved and unclaimed dividends within three years after the expiry of the dividend payment’s period.
Thus, in compliance with the current version of the Company’s Articles of Association, approved by the Annual General Meeting of Shareholders on June 2, 2011 (Minutes ¹ 1 of the Annual General Meeting of Shareholders, dated June 7, 2011), as well as previous versions of the the Company’s Articles of Association the Company currently pays the declared and unclaimed dividends for 2009 and 2010.

NOTE: in compliance with the requirements of the Registrar, in case of personal information changing (changing of passport details or the address) the shareholder must provide the Registrar with the Registered Holder Form (must be completed legibly, without erasures or corrections).
An individual must sign the Registered Holder Form in the presence of an authorized representative of the Registrar or his/her signature must be approved by notary.
In case of last name, first name or father’s name changing the shareholder also must provide the Registrar with the document, which confirms such change, in original or the copy of such document approved by notary (marriage certificate, certificate of name changing etc.).
Moreover, in compliance with the requirements of the Registrar, to be identified in the Company’s register the shareholder must also provide the Registrar with his/her passport in original (such passport must include the information about all former passports of the shareholder) or provide the Registrar by post mail with the copy of such passport. Otherwise, the shareholder must provide the Registrar with other document/documents which can help the Registrar to identify the shareholder: extracts or other documents of authorized authorities responsible for passport bookkeeping which contains the information about present and all former passports of the shareholder (First Name, Father’s Name and Last Name must be indicated in such document).
