I invested my voucher in your company in 1992, where is it now?
Anyone had the possibility to acquire 10 shares of the investment fund in exchange for 1 privatization voucher, which was a commonplace practice in 1992–1993. The company usually purchased the shares of other companies in exchange for the vouchers received from its shareholders. The company receives profit by means of dividends and interest rate on the securities of Russian issuers, as well as from the securities operations.
Please inform me about the dividends to be received by the company’s shareholders.
The decision regarding payment of yearly dividends, its amount and form of payment was adopted by the General Meeting of Shareholders of OJSC «IC RUSS-INVEST» ten times in accordance with the provisions of Federal Law No. 208-FZ “On joint stock companies” and Corporate Charter of OJSC «IC RUSS-INVEST».
General Meeting of Shareholders held on May 10, 1995 decided to pay the dividends amounting to 568 non-denominated rubles per share with nominal price of 1000 non-denominated rubles for the first quarter of 1994. After deduction of income tax the dividends amounted to 500 non-denominated rubles per share. In denominated rubles the dividends amounted to 0.568 rubles per nominal share with face value of 1 denominated rouble).
General Meeting of Shareholders held on May 10, 1995 decided to approve the payment of dividends for the second, third, and fourth quarters of 1994 amounting to 852.28 non-denominated rubles per share with face value of 1000 non-denominated rubles. After deduction of income tax the dividends amounted to 750 non-denominated rubles per share. In denominated rubles the dividends amounted to 0.85228 rubles per nominal share with face value of 1 denominated rouble.
General Meeting of Shareholders held on May 10, 1996 decided to pay the dividends amounting to 134.1 non-denominated rubles per share with nominal price of 1000 non-denominated rubles for the first quarter of 1994. After deduction of income tax the dividends amounted to 118 non-denominated rubles per share. In denominated rubles the dividends amounted to 0.1341 rubles per nominal share with face value of 1 denominated rouble.
Note that all the above-mentioned dividends are indicated in non-denominated and denominated rubles.
Face value of each common nominal share amounted to one thousand (1000) rubles before January 1, 1998. Currently, one common nominal share of our company costs one (1) (denominated) rouble.
For the purposes of providing compliance with the RF Government Regulation No. 217 of February 18, 1998 “On peculiarities of securities circulation arising from the change in the face value of Russian currency and the respective price adjustments” and Federal Securities Commission Regulation No. 6 of April 20, 1998 “On order of modifications in the securities issue decisions, securities emission prospectuses, privatizations plans, corporate charters, and articles of incorporation determined by the change in the face value of Russian currency and the respective price adjustments” on June 28, 1998 General meeting of Shareholders of OJSC «IC RUSS-INVEST» VIF decided to amend and modify the Company Charter as a result of change in the face value of Russian currency and respective price adjustments (rouble denomination). As a result, face value of one share of company mounted to one (1) rouble.
General Meeting of Shareholders held on May 23, 2001 decided to approve the payment of dividends for the year 2000 amounting to 1.51 rubles per share with face value of 1 rouble (exclusive of income tax).
General Meeting of Shareholders held on July 2, 2003 decided to approve the payment of dividends for the year 2002 amounting to 3.50 rubles per share with face value of 1 rouble (exclusive of income tax).
General Meeting of Shareholders held on May 14, 2004 decided to approve the payment of dividends for the year 2003 amounting to 1.75 rubles per share with face value of 1 rouble (exclusive of income tax).
General Meeting of Shareholders held on June 29, 2005 decided to approve the payment of dividends for the year 2004 amounting to 1 rouble per share with face value of 1 rouble (exclusive of income tax).
General Meeting of Shareholders held on June 14, 2006 decided to approve the payment of dividends for the year 2005 amounting to 1,50 rouble per share with face value of 1 rouble (exclusive of income tax).
General Meeting of Shareholders held on June 08, 2007 decided to approve the payment of dividends for the year 2006 amounting to 1,20 rouble per share with face value of 1 rouble (exclusive of income tax).
General Meeting of Shareholders held on June 06, 2008 decided to approve the payment of dividends for the year 2007 amounting to 1 rouble per share with face value of 1 rouble (exclusive of income tax).
Dividends were not paid following the decisions of General Meeting of Shareholders:
General Meeting of Shareholders held on May 5, 1997 decided not to pay dividends for the year 1996.
After analyzing the company’s results of 1997, 1998, and 1999 General Meeting of Shareholders decided not to pay dividends due to the loss incurred as a result of freezing of assets imposed in July-August 1997 by the Investigation Committee of the Ministry of Internal Affairs of the Russian Federation (MIA RF), as well as due to the 1998 Russian financial crisis.
General Meeting of Shareholders of OJSC «IC RUSS-INVEST», which took part on May 29, 2002 in Moscow, allowed the non-payment of dividends pertaining to operational year 2001.
General Meeting of Shareholders held on June 03, 2009 has made decision not pay out dividends in connection with the losses received by the Society in 2008.
I did not receive my dividends. How can I receive them?

The dividends for the years 1994, 1995, and 2000 was made via mail orders from inter-district post offices No. 4 and No. 9 of CPP Moscow according to the personal details indicated in the Shareholders’ Register. Provided that a shareholder did not receive his/her dividends for certain reasons, e.g. expiry of money keeping term, change of address not being sent to the company and thus causing sending of dividends to an old address, etc., and provided that the respective inter-district post offices had informed the company about the return of the mail transfer, we herein inform you that:
- Accounts were automatically opened for the shareholders who had not claimed their dividends for the 1st quarter of 1994 at National Pension Bank, Tsaristyno branch office located at the address 27 Bekhtereva St., Moscow. The dividends were transferred to the said accounts.
- On-demand accounts were automatically opened for the shareholders who had not claimed their dividends for the 2nd to 4th quarters of 1994 at Sberbank of Russia, Tsaristyno at the following address:

You may receive your dividends only if you are able to present your passport.
- Provided that inter-district post office Moscow-9 had informed our company about the return of mail transfer, you can receive your dividends for the year 2000 by submitting to OJSC «IC RUSS-INVEST» the application for REPEATED payment of dividends in the form approved by our company.
- Dividends for the years 2002, 2003, 2004, 2005, 2006 and 2007 are payable according to the personal details indicated by shareholders in dividend payment request forms filled in separately for each of the said years, provided submittal of Registered Shareholder Questionnaire by the shareholder, if such questionnaire is not available to our company from the Registrar.
Provided that inter-district post office Moscow-9 had informed our company about the return of mail transfer, you can receive your dividends for the years 2002, 2003, and 2004 by submitting to OJSC «IC RUSS-INVEST» the application for REPEATED payment of dividends in the form approved by our company.
How can I change my address or passport details, or exercise my inheritance rights?
(Also refer to the article entitled “If your details have changed” in shareholder Information section.)
The Registrar responsible for keeping the shareholder register of OJSC «IC RUSS-INVEST» is Closed Joint Stock Company Professional Registration Center (brief name CJSC PRC, former name – Moscow City branch of CJSC SURC).
Registrar keeps the records about all the shareholders of OJSC «IC RUSS-INVEST», including such details as name, surname, patronymic, passport details, residential address, number of owned shares, etc. All the above-mentioned data are registered in the personal shareholder account by the Registrar. OJSC «IC RUSS-INVEST»’s shares are book-entry securities, which means that the owner of such shares is determined on the basis of Registrar’s data.
In cases of transfer of the rights to your shares as a result of closing a sale-and-purchase transaction, change of owner of OJSC «IC RUSS-INVEST» shares as a result of inheritance, or changes in your personal details, such as name or surname, passport, or address, or discovery of a mistake in the data provided by you earlier, you have to contact the Registrar (CJSC PRC) in person or by mail.
In cases when a shareholder who leaves his/her shares as inheritance did not receive the dividends for the past years, you must have a separate inscription in the Legal inheritance certificate stating your right to said dividends besides the right to share inheritance.
In such cases the heir has to provide OJSC «IC RUSS-INVEST» with a copy of Legal inheritance certificate and a dividend payment request after registering his/her ownership inheritance rights with CJSC PRC.

How can I certify my property rights to the paper-entry shares of OJSC «IC RUSS-INVEST»?
You may certify your property rights to the common nominal book-entry shares by obtaining an excerpt from the Shareholders' Registry of OJSC «IC RUSS-INVEST» kept by Closed Joint Stock Company Professional Registration Center. In accordance with the provisions of art. 46 of the Federal Law “On Joint Stock Companies” the above-mentioned excerpt is not a security.

As for the sale of shares, we would like to inform you that no events requiring buyback of shares according to the provisions of art. 75 of Federal Law “On Joint Stock Companies” adopted by the State Duma on 24.11.1995 did take place.
Buying and selling of OJSC «IC RUSS-INVEST» shares owned by you is only possible if you find a buyer/seller by yourself. After that, you have to close a securities purchase-and-sale transaction by signing a purchase and sake agreement and transfer the ownership to the shares in case by providing all necessary documents to CJSC Professional Registration Center in the form acceptable to the said Company.
